BYLAWS
OF THE SIMSBORO HIGH SCHOOL
ALUMNI ASSOCIATION

I. Membership – All persons who have graduated from Simsboro High School
A. Active Membership - All graduates who have paid their annual dues for the current calendar year.
B. Inactive Membership – All graduates who have not paid their annual dues for the current calendar year.
C. Honorary Membership – Former students and faculty/staff who did not graduate from Simsboro High School appointed by the President.
D. Associate Membership – Friends and supporters of Simsboro High School who have paid their annual dues for the current calendar year.
E. Membership Dues
1. Any graduate may apply to the Alumni Board for active membership by paying annual dues of $10.00 or such other amount as may be established by the Alumni Board.
2. Dues and active membership apply to the current calendar year.
3. Any payment of dues will be applied to the current calendar year, regardless of what time of the year received, unless specifically designated for other years.
4. Alumni may pay “lifetime” dues of $500.
II. Meeting of Membership/Quorum
A. The membership shall meet, at a minimum, bi-annually on the second weekend in August of even years, at such time and place as shall be established by the Alumni Board. Notice of the meeting shall be published in the Alumni newsletter no later than 30 days prior to the meeting.
B. Other meetings of the membership shall be held at such time as the President of the Alumni Board may direct. Written notice, 30 days in advance, shall be delivered to the membership which clearly states the purpose of the meeting.
C. The President or Secretary of the Alumni Association upon the written request by an appointed committee or its chairperson acting upon the written authority of the committee shall call special meetings of the membership at any time.
D. Quorum – 15% of the active membership or 25 members, whichever is less, shall constitute a quorum at any meeting of the membership.
III. Alumni Board
A. The government of the Alumni Association, direction of its work and the control of its property shall be rested in a 20 member Alumni Board.
1. Ten members of the Board will be elected at the bi-annual meeting.
2. Four members of the Board will consist of the President, Vice-President, Secretary and Treasurer who will be elected at each bi-annual meeting.
3. Five members of the Board will consist of appointees of the President as further authorized in Section V, Subsection E of these bylaws.
4. One ex officio member of the Board will consist of a student representative of the Student Government Association of Simsboro High School.
B. The Alumni Board shall have power and authority to bind the Association on any matter within the aims and purposes of the Association.
C. The Alumni Board shall meet at least semi-annually and may consider and act on any matter concerning the Association and/or Simsboro High School.
D. Six members of the Alumni Board or all officers of the Alumni Board shall constitute a quorum at any regular or special meeting of the Alumni Board.
E. Except where otherwise provided, a majority of those voting on any matter shall have the power to bind the Alumni Board.
F. Special meetings of the Alumni Board may be called at any time by the President or, in his/her absence, the Vice-President or Secretary. The President or Secretary shall call special meetings of the Alumni Board at any time when requested to do so by three members of the Alumni Board.
G. All meetings of the Alumni Board and membership shall be conducted in accordance with Robert’s Rules of Order or any other generally accepted authority on Parliamentary procedure. The President may appoint a parliamentarian for each meeting of the Alumni Board from the Board membership.
H. Any vacancy in any office shall be filled by appointment by the President with consent of a majority of the Alumni Board in attendance at a meeting immediately following the appointment.
I. With the express approval of either the Vice-President or Secretary, the President of the Association shall have full power and authority to bind the Association or the Alumni Board on any matter within the aims and purposes of the Association. Any action taken by the President with the express approval of one of the two other elected officers shall be reported to the Alumni Board at the next meeting of the Board. In no event, however, shall the President or any other officer have authority to dispose of any property of the Association without prior approval of whatever constitutes a quorum of those in the meeting.
J. All meetings of the Alumni Board require either written or verbal notice at least 7 days in advance of the meeting.
IV. Nominations and Election of the Alumni Board
A. In April, prior to the bi-annual meeting of the membership, the incumbent President shall appoint a nominating committee consisting of six (6) members. This nominating committee shall not have more than three (3) members who are incumbent members of the Alumni Board. The nominating committee may consider any active or inactive member as a nominee for the Alumni Board. However, consideration should be given to the distance and the availability of the nominee to attend meetings.
B. The nominating committee shall report no later than 30 days after its creation to the President or to the Alumni Board, who shall cause the nominees to the Alumni Board to be published in the next newsletter at least 30 days prior to the bi-annual meeting of the membership.
C. The nominating committee shall nominate 10 nominees to serve as Alumni Board members for a two-year term beginning with the bi-annual membership meeting and expiring at the next bi-annual membership meeting.
D. Any member of the Association shall be eligible to serve on the Alumni Board; however, no member shall be eligible to serve as an elected member beyond three consecutive terms. A member who is not qualified to serve because of the above restriction may serve as an appointed member.
E. Other nominations for elected members of the Alumni Board may be received at the annual meeting of the membership provided the nominee is in attendance and states his/her willingness to serve, if elected. After nominations have closed, those 10 nominees receiving the highest plurality vote of the membership shall be declared elected.
F. A student representative of the Student Government Association will also serve as a member of the Alumni Board. The representative will be the SGA President or other designated member and will have the same voting privileges as other Alumni Board members.
V. Officers and Their Qualifications – Election or Appointment
A. The nominating committee shall also nominate, at the same time of the nominations for the Alumni Board, nominees for the officers of President, Vice President, Secretary, and Treasurer of the Association. Other nominations for these offices may be made by the Alumni Association membership at the annual meeting. Nominees for these positions elected by majority vote of the membership shall serve on the Alumni Board.
B. No person shall be elected to the offices of President, Vice-President, Secretary, or Treasurer except by a majority vote of those voting in the election. If no candidate receives a majority on the first ballot, a run-off election will be held between the two candidates receiving the largest number of votes. The President, Vice-President, Secretary, and Treasurer of the Association shall serve for a term of two years with terms beginning at the same time as those members of the Alumni Board who are elected at the bi-annual meeting.
C. No member shall be eligible to serve more than two consecutive two-year terms as President or Vice-President.
D. The President, Vice-President, Secretary, and Treasurer, by virtue of their election to office by the membership, shall be members of the Alumni Board.
E. Within 30 days following the election of officers at the bi-annual meeting of the membership, the President of the Association, with the consent of a majority of the elected Alumni Board members in attendance at a meeting called for that purpose, may appoint additional members from the membership to serve as appointed members of the Alumni Board. In no instance shall the total number or board members exceed 20 members. Appointed members of the Alumni Board, properly appointed and approved, shall be entitled to equal privileges with those persons who are elected members of the Alumni Board.
F. As appointed members of the Alumni Board, their terms shall run concurrent with the term(s) of the President.
G. The immediate past President shall be an ex-officio officer of the Alumni Board for the first two years following his tenure of office.
VI. Appointed Officers: Duties of Officers
A. In addition to the officers of the Association elected by the membership, the President may appoint, at any time, the Foundation Director who shall serve a concurrent two-year term with the President. This appointed officer may be an elected or an appointed member of the Alumni Board.
B. The President shall preside at all meetings of the membership and Alumni Board. He shall perform all duties incident to his office and advise the Alumni Board and membership as to each action as may be deemed by him necessary to accomplish or implement the purposes and aims of the Simsboro High School Alumni Association.
C. The President may appoint committees from the Association membership or from the Alumni Board with the approval of the Alumni Board. No committee or its authority shall extend beyond the term of the President who appoints the committee unless these bylaws so prescribe.
D. The Vice-President shall serve in the absence of the President and shall serve as chairman of the Membership Enlistment and Management Committee. At the direction of the President, the Vice-President shall perform other executive duties.
E. The Secretary shall keep all records of the Association and shall attend all meetings of the Alumni Board and membership. Any assistant secretary or other member of the Alumni Board may perform the duties of the secretary in the absence of the elected secretary. The secretary shall cause proper notice of meetings to be given in all cases where required and shall perform such other duties as may be assigned by the President or the Alumni Board.
F. The Treasurer shall be responsible for funds and securities of the Association and shall cause to be kept and maintained accurate accounts and records of the financial affairs of the Association. The Treasurer shall cause to be rendered financial reports at each bi-annual Association meeting and at each Alumni Board meeting.
VII. SHS Alumni Scholarship
A. The Scholarship Selection Committee
1. The selection committee for scholarship will consist of five (5) members. One of those members should be an alumnus that has been a teacher. The Alumni Foundation Director or the President will appoint this committee. The Alumni Foundation director is a non-voting member of the selection committee.
2. The committee of five (5) will be active members of the SHS Alumni Association and shall be approved by the Alumni Board.
3. Funding Procedure – The interest from money donated to the SHS Foundation through miscellaneous donations will be used to fund the scholarship. The donated money will not be used.
B. Selection Process
1. The selection committee will set the criteria for the scholarships. Possible criteria could include, but are not limited to, completion of application, GPA, ACT score, letters of recommendation, written responses from applicant, and personal interview.
2. The committee of five (5) will read and rank student applications by points. The one with the most points will receive the scholarship.
3. The recipient of the scholarship must choose a four-year college of their choice. The check will be made payable to that college. The recipient must have attended SHS for at least three (3) years.
4. The Alumni Foundation Director will collaborate with Simsboro High School staff to arrange the application and evaluation procedure.
VIII. Dissolution
In case of dissolution, after paying all indebtedness and costs of the dissolution of the Corporation, convey, transfer, and deliver all remaining funds and property of the Cooperators to Simsboro High School in full ownership as to be used by said high school only for scholarship awards.
IX. Amendments To Bylaws
These bylaws may be amended, supplemented, or repealed in whole or in part at any regular meeting of either the Association membership or the Alumni Board or at any special meeting thereof called for this purpose by a majority vote of those present. No action shall be taken by the Alumni Board unless a quorum is present.
